1. Acceptance of Terms
By creating an account, accessing, or using the firmngin platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you ("User," "You," or "Customer") and PT Byte Forge Indonesia ("Company," "We," "Us," or "Our").
2. Account Registration and Responsibilities
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree not to:
- Create accounts through unauthorized or automated means
- Share your account credentials with unauthorized third parties
- Use the Service for any illegal or unauthorized purpose
- Interfere with or disrupt the integrity of the Service
2.1 Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. If you register on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Subscriptions and Billing
3.1 Subscription Plans
The Service is offered on a subscription basis. Plans, pricing, and features are described on our website and may be updated from time to time. We reserve the right to modify pricing with reasonable notice to existing subscribers.
3.2 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due at the start of each billing period. Failure to pay may result in suspension or termination of your account.
3.3 Automatic Renewal
Unless you cancel before the next billing date, your subscription will automatically renew for the same duration. You may cancel at any time through your account settings.
3.4 Subscription Refunds
All subscription fees are non-refundable, except as stated in our Refund Policy. There are no refunds or credits for partial months of service, unused portions of a subscription, or downgrades made during a billing cycle unless required by applicable law or our Refund Policy.
This section applies to platform subscription fees only. Refunds for end-customer payments processed through merchant features are addressed in Section 4.5.
3.5 Plan Limits and Quotas
Your subscription plan may include limits on devices, workspaces, automations, transactions, AI usage, or other features. Current limits are shown in your account and plan settings. If you exceed applicable limits, certain features may be restricted until you upgrade, reduce usage, or wait for the next quota reset period.
4. Merchant Accounts, Verification, and Compliance
If you use monetization or payment features on the platform, you may create and operate one or more merchant accounts subject to these Terms and our applicable policies.
4.1 Verification Required
Before a merchant may accept live (real) transactions, it must complete our verification process. This may include submitting business information, identity documents, proof of address, device or service details, and any other information we reasonably request. Collection and use of verification data is also described in our Privacy Policy. Test or debug merchants may be available before verification, but they are not substitutes for an approved live merchant.
We may approve, reject, or request revision of a live merchant request at any stage of review. Submission of an application does not guarantee approval.
4.2 Compliance With Policies and Law
You represent and warrant that your merchant, catalog, pricing, devices, and all goods or services offered through the platform comply with these Terms, our policies, and all applicable laws and regulations in the jurisdictions where you operate or where your customers are located.
You must not use merchant or payment features to offer, promote, or facilitate:
- Illegal, stolen, or counterfeit goods or services
- Controlled substances, weapons, explosives, or other prohibited items
- Gambling, adult content, or other restricted categories where not permitted by law or platform policy
- Pyramid schemes, unlicensed financial services, or other fraudulent or deceptive offerings
- Any product or service that violates intellectual property, consumer protection, or safety regulations
We may update the list of prohibited or restricted categories from time to time. You are responsible for staying informed of and complying with current platform policies.
4.3 Finality of Platform Decisions
Decisions made by our administrators or review team regarding merchant verification, live request approval or rejection, operational status (including Suspended or Dormant), transaction blocking, or enforcement of these Terms are final, except where applicable law requires otherwise.
By using merchant features, you acknowledge that we may act to protect users, merchants, payment partners, and the platform, and that such decisions may limit or suspend your ability to transact without prior notice in urgent or high-risk situations.
4.4 Merchant Payments, Fees, and Payouts
Payment processing for merchant transactions is provided through third-party payment partners and infrastructure integrated with the platform. We are not a bank, money transmitter, or licensed payment institution; we provide software and integration services that connect merchants to payment partners.
Fees may apply to merchant transactions, including platform fees, payment gateway fees, taxes, and other charges disclosed during checkout, invoice preview, or in your merchant settings. Fee structures may change with reasonable notice where required.
Merchant balances may include unsettled and settled amounts. Settlement timing, reserved balances, and available payout amounts depend on payment partner rules, transaction status, risk review, and platform policies. Payout requests may be subject to minimum amounts, verification, and successful completion of partner processing.
4.5 Refunds, Chargebacks, and Disputes
Subscription refunds are governed by Section 3.4 and our Refund Policy. They do not apply to payments made by end customers to your merchant.
For guest or customer payments processed through your merchant, you are responsible for delivering the goods or services offered, handling customer inquiries, and resolving disputes in good faith. Refunds for merchant transactions may be initiated through platform tools where available, subject to payment partner rules and administrative review.
Chargebacks, payment reversals, or partner-initiated disputes may reduce your merchant balance, trigger operational review, or result in Suspended status. End customers pay the merchant offering the product or service; the platform facilitates payment processing but does not become the seller of your catalog items unless explicitly stated otherwise.
4.6 Debug and Live Merchants
Debug (test) merchants are intended for development, testing, and onboarding before live approval. They may be labeled accordingly in the interface and are not guaranteed to behave identically to live merchants in all respects.
Live merchants may accept real customer payments only after successful verification and approval. You must not represent a debug merchant as production-ready or direct real customers to test checkout flows without clear disclosure where required by law.
4.7 Suspended vs Dormant Status
Suspended status is typically applied for enforcement, compliance review, fraud or risk concerns, policy violations, or other situations requiring immediate restriction of transaction activity.
Dormant status is typically applied for prolonged inactivity, unused merchant accounts, or operational reasons not necessarily involving an active violation. Both statuses block new transactions and payouts as described in Section 9.1.
4.8 Fraud Prevention and Security Reviews
We may monitor transactions, login activity, device behavior, and merchant operations for fraud, abuse, or security risks. This may include automated screening, manual review, transaction holds, account or merchant restrictions, and cooperation with payment partners. You agree to cooperate with reasonable verification requests arising from such reviews.
5. Acceptable Use
You agree to use the Service in compliance with all applicable laws and regulations. Prohibited activities include:
- Using the Service to transmit malware, viruses, or harmful code
- Attempting to gain unauthorized access to our systems or other users' accounts
- Using the Service for any unlawful, fraudulent, or deceptive purpose
- Reverse engineering, decompiling, or disassembling the Service
- Exceeding rate limits or engaging in activity that degrades service performance
- Circumventing fraud controls, verification requirements, or merchant operational restrictions
- Using stolen payment credentials or facilitating unauthorized transactions
6. Intellectual Property
The Service, including its code, design, logos, and documentation, is owned by PT Byte Forge Indonesia and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
Your IoT device data, firmware, and content remain your intellectual property. We claim no ownership over the data you upload or transmit through the Service.
7. Service Level and Limitations
We strive to provide reliable service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, PT Byte Forge Indonesia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, revenue, or business interruption.
Our total liability for any claim arising from these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination:
- Your access to the Service will be revoked
- Your data will be retained for 30 days, after which it may be permanently deleted
- You will not be entitled to a refund for any unused portion of your subscription
9.1 Merchant Suspended or Dormant Status
For merchant accounts using monetization and payment features, we may set a merchant to Suspended or Dormant status as described in Section 4.7—for example due to policy review, inactivity, fraud or risk concerns, or other operational reasons.
While a merchant is Suspended or Dormant:
- All new transactions for that merchant are blocked, including guest checkout orders and payout requests
- Existing paid orders may continue according to their lifecycle, but no new payments may be initiated
- Any existing merchant balance remains associated with that merchant account and is not forfeited solely because of Suspended or Dormant status, subject to applicable law
- The merchant owner will be notified by email when status changes
- Status may be restored to Active after review or when the underlying issue is resolved
End customers attempting to pay a Suspended or Dormant merchant may see that the merchant is temporarily unable to accept transactions. These measures help protect users, merchants, and the platform.
10. Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control, including internet or telecommunications outages, cloud or infrastructure provider failures, payment partner downtime, MQTT broker interruptions, regulatory actions, natural disasters, labor disputes, or other force majeure events. During such events, payment processing, device connectivity, or platform features may be unavailable or degraded without creating a refund obligation beyond what is required by applicable law or our published policies.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from these Terms shall be resolved in Indonesia.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
